1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and GenPicked (“we,” “our,” or “us”) governing your access to and use of the GenPicked platform, website, and all related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. The Service is designed for business use by digital marketing agencies and professionals.

3. Account Registration & Security

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at support@genpicked.com if you become aware of any unauthorized use of your account or any other security breach. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised.

4. Service Description

GenPicked is an AI-powered platform that helps digital marketing agencies measure, analyze, and optimize their clients’ brand perception in AI-powered search engines and recommendation systems. The Service includes, but is not limited to: AI brand perception monitoring, content generation and optimization tools, competitive intelligence, client reporting dashboards, email outreach tools, and sales enablement features.

We reserve the right to modify, update, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of material changes that affect your use of the Service.

5. Subscriptions, Billing & Payments

5.1 Plans & Pricing

The Service is offered on a subscription basis. Current pricing, plan features, and billing cycles are displayed on our pricing page and during the checkout process. All prices are quoted in US Dollars unless otherwise indicated.

5.2 Free Trial

We may offer a free trial period. At the end of the trial, you will be charged at the applicable subscription rate unless you cancel before the trial expires. We will send a reminder before your trial ends.

5.3 Recurring Billing

Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. By subscribing, you authorize us to charge the applicable fees to your designated payment method on a recurring basis.

5.4 Refund Policy

All fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact support@genpicked.com within 14 days of the charge. We will review and, at our discretion, issue a refund or credit for legitimate billing errors.

5.5 Price Changes

We may change our pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing cycle following at least 30 days’ written notice.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service for any unlawful purpose or in any way that could harm, disable, overburden, or impair the Service.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, design, text, graphics, logos, and all related intellectual property, is owned by GenPicked and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

7.2 Your Content

You retain ownership of any data, content, or materials you submit to the Service (“Your Content”). By submitting Your Content, you grant us a limited, non-exclusive, worldwide license to use, process, store, and display Your Content solely for the purpose of providing and improving the Service.

7.3 AI-Generated Content

Content generated by the Service using AI models (“Generated Content”) is provided for your use subject to these Terms. You are responsible for reviewing, editing, and verifying all Generated Content before publishing or distributing it. GenPicked does not guarantee the accuracy, originality, or suitability of Generated Content. You assume full responsibility for any use of Generated Content.

8. Disclaimers & Limitation of Liability

8.1 “As Is” Basis

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 AI Output Disclaimer

AI-generated analysis, recommendations, and content may contain errors, inaccuracies, or biases. You should not rely solely on AI-generated outputs for critical business decisions without independent verification.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GENPICKED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

9. Indemnification

You agree to indemnify, defend, and hold harmless GenPicked, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

You may cancel your subscription and close your account at any time through your account settings or by contacting support@genpicked.com. We may suspend or terminate your account if you violate these Terms or our Acceptable Use Policy, or if we discontinue the Service.

Upon termination, your right to access the Service will cease immediately. We will retain your data for 30 days following termination to allow you to export it, after which it will be permanently deleted in accordance with our Privacy Policy.

11. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through binding arbitration or in the courts of competent jurisdiction, depending on applicable law.

For users in the EU/UK: nothing in this section limits your right to bring proceedings in the courts of your country of residence, or your right to refer complaints to your local consumer protection authority or data protection supervisory authority.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. For users in the EU/UK, mandatory consumer protection laws of your country of residence shall apply to the extent they provide greater protection.

13. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page with a revised effective date. For material changes, we will provide at least 30 days’ notice via email or a prominent notice on the Service. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and GenPicked regarding the Service and supersede all prior agreements and understandings.
